As a recompense for being granted access to Builders FirstSource, Inc. (“CBS LLC”) website named “cbsllc.com” (the “Site”) and by utilizing it, you consent to adhere to the following agreement (the “Agreement”) without any limitation or qualification. Before proceeding, please examine the Agreement thoroughly. If you do not plan to be legally bound by these terms and conditions, do not access or use the Site. CBS LLC retains the right to amend the Agreement and modify any of the products, services, or other items detailed on the Site at any moment without prior notification or accountability. Any revisions of this kind are binding on you in the future. It is recommended that you visit this page from time to time in order to review the Agreement that currently binds you. CBS LLC holds the right to deny you access to the Site at any time, based solely on its discretion and without prior notice.

You agree to indemnify, defend, and hold harmless CBS LLC and its affiliates, along with their officers, employees, directors, managers, stockholders, members, partners, and agents (collectively referred to as the “Indemnified Parties”), from any and all claims, demands, proceedings, suits, and actions. This includes but is not limited to related liabilities, obligations, losses, damages, deficiencies, penalties, taxes, levies, fines, judgments, settlements, expenses (including attorneys’ and advisors’ fees and disbursements), and costs (collectively referred to as "Claims"). These Claims are based on or arise from your use or alleged use of the Site and include any Claims that allege facts which would constitute a breach of this Agreement by you if they were true.

THIS APPLIES IRRESPECTIVE OF WHETHER SUCH DAMAGES ARE DUE TO CONTRACTUAL OBLIGATIONS, STRICT LIABILITY, TORT OR OTHER THEORIES OF LIABILITY, AND REGARDLESS OF WHETHER THE INDEMNIFIED PARTY WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.

CBS LLC does not guarantee or signify that your use of information and materials on the Site will not violate the intellectual property rights of others. CBS LLC shall not be responsible for any virus or other damage to your computer equipment or property resulting from your accessing, browsing, or using the Site, or from downloading any audio, data, images, materials, pictures, text, or video from the Site. The Site may mention certain goods, products, and/or services that might not be available in your area. A mention of goods, products, and/or services without restriction to a geographic area does not indicate that BFS provides or plans to provide those goods, products, and/or services in every location.

This website provides CBS LLC with different types of information about you. When you access the Site, CBS LLC may gather cookies, log files, and other comparable tracking information. Furthermore, CBS LLC might gather your name, email address, phone number, and remarks on our investor page. If you apply for a job online through the “Career” tab, CBS LLC may also gather various types of information about you. CBS LLC, its affiliates, and their advisors collect the aforementioned information for internal corporate purposes. CBS LLC does not offer this information for sale. CBS LLC may share the information with third parties, including any government branch or agency, if it believes there is a legal obligation to disclose it.

CBS LLC will not regard as confidential any communications you send to it, whether by electronic mail or other means. CBS LLC is not obligated to refrain from publishing, reproducing, or using your communications in any manner or for any reason.

CBS LLC does not accept or consider unsolicited proposals related to its business, including but not limited to advertising campaigns, logos, names, processes, products, promotions, services, slogans, and technologies. CBS LLC requests that you refrain from sending such proposals. Please do not send original creative artwork, blueprints, designs, layouts, photographs, or samples. CBS LLC implemented this policy to avert claims that it copied unsolicited ideas without permission, even though it actually came up with the idea independently or well before receiving the unsolicited proposal. You agree that this Agreement is established in Dallas County, Texas. You concur that Texas law governs the interpretation of this Agreement and any disputes related to or arising from your access to, interactions with, or use of the Site, without considering conflicts of law principles. Any legal action initiated by you concerning your access to, interactions with, or utilization of the Site must be filed in the state or federal courts located in Dallas County, Texas. You acknowledge and comprehend that you will not file any class action lawsuit against any Indemnified Party concerning your access to, interactions with, or use of the Site.

This Agreement constitutes the entire agreement governing your access to, dealings with, and use of the Site. Separate agreements may attach to any goods, products, or services you obtain, purchase, or use from the Site. In the case of a conflict between this Agreement and any agreement specific to any goods, products, or services that you obtain, purchase, or use from the Site, the terms of the specific agreement shall govern.

Should BFS fail or delay in asserting its rights under this Agreement, it does not waive the right to assert those or any other rights at a different time or against a different individual or entity. If any part of this Agreement is determined to be invalid or unenforceable, that specific part will be removed from the Agreement, and the validity or enforceability of the remaining provisions will not be affected. It is requested and instructed of any court, mediator, or arbitrator to substitute such a removed term with the most similar enforceable term that has a similar effect.
